Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and City Farmers, Inc. (“City Farmers,” “we,” “us,” or “our”). By accessing or using our websites or online services (the “Site”), you agree to these Terms. If you do not agree, do not use the Site.
Informational purpose
The Site describes a pre-revenue business, technologies under evaluation, research, plans, and potential future operations. Content may include estimates, targets, projections, vendor statements, concept renderings, preliminary designs, and forward-looking statements. Actual results may differ materially. Content may be incomplete, may change, and should not be treated as a promise, warranty, engineering specification, operating result, or substitute for professional advice or independent diligence.
No securities offer or investment advice
Any offering would be made only through definitive documents and in compliance with applicable law. Any decision involving City Farmers or a related project should be based on those definitive documents, independent diligence, and advice from your own qualified advisers. Site access, communications with us, and access to restricted materials do not create a fiduciary, advisory, partnership, joint-venture, customer, or investor relationship.
Restricted areas
Some areas are limited to people who receive authorization from City Farmers. You may not share an access code or restricted material, bypass an access control, or attempt to enter an area for which you are not authorized. We may change or revoke access at any time. Administrative and equipment controls are solely for authorized operators.
Acceptable use
You agree not to:
- Use the Site in violation of law or another person’s rights;
- Probe, disrupt, overload, or compromise the Site or its security;
- Introduce malicious code or use credentials without authorization;
- Copy, distribute, or disclose restricted materials except as City Farmers expressly authorizes; or
- Misrepresent Site content, remove notices, or imply that City Farmers endorses you, your organization, or your claims.
Ownership and permitted use
The Site and its original content, design, software, graphics, and branding are owned by City Farmers or used with permission and are protected by applicable intellectual-property laws. Subject to these Terms, City Farmers grants you a limited, revocable, non-exclusive, non-transferable right to access public Site content for your personal or internal business evaluation. No other right or license is granted by implication.
Third-party names, technologies, images, research, and trademarks remain the property of their respective owners. Any material expressly offered under a separate open-source or Creative Commons license is governed by that separate license.
Third-party content and links
The Site may discuss or link to third-party organizations, research, technologies, or services. Those references are provided for context and do not necessarily mean that City Farmers controls, endorses, or guarantees the third party or its claims. Third-party sites and services have their own terms and privacy practices.
Disclaimer of warranties
To the fullest extent permitted by law, the Site is provided “as is” and “as available.” City Farmers disclaims all express and implied warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, security, and uninterrupted availability. We do not warrant that errors will be corrected or that the Site will always be available.
Limitation of liability
To the fullest extent permitted by law, City Farmers and its officers, directors, employees, advisers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, opportunity, or goodwill, arising from or related to the Site. Where liability cannot be excluded, it will be limited to the greater of $100 or the amount you paid City Farmers specifically for use of the Site during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be limited.
Changes, suspension, and termination
We may change, suspend, or discontinue any part of the Site, and may update these Terms, at any time. The revised Terms will be posted here with a new effective date. Continued use after an update means you accept the revised Terms. We may suspend or terminate access if we reasonably believe these Terms have been violated or access creates legal, operational, or security risk.
General terms
These Terms and our Privacy Policy are the entire agreement governing use of the Site. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; City Farmers may assign them in connection with a reorganization, financing, or corporate transaction.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except to the extent mandatory law where you live applies.
